Terms of use

These terms of use ("Terms") govern access to and use of the Assetal website, marketplace and related services (collectively, the "Service") operated by Assetal ("we", "us"). By creating an account, browsing, purchasing, selling or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
These Terms are intended to be read together with our Privacy policy. Capitalised terms not defined here have the meaning given in the Privacy policy or on the Service.
1. Important notices for Australian consumers
Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law (Competition and Consumer Act 2010 (Cth), Schedule 2) ("ACL"). Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy conferred by the ACL or any other applicable law that cannot lawfully be excluded.
Where you acquire digital products or services from a creator through Assetal as a consumer (within the meaning of the ACL), you may have statutory rights to a remedy if there is a failure to comply with a consumer guarantee (for example, where digital content is not of acceptable quality, does not match its description, or is not fit for a disclosed purpose). Remedies may include repair, replacement, refund or compensation, depending on whether the failure is major or minor.
For business customers acquiring products for commercial purposes, the ACL may still apply in some circumstances. If you are unsure whether you are a consumer, seek independent advice.
2. About Assetal
Assetal is an online marketplace that helps independent creators ("Creators") offer licences to digital assets such as textures, 3D models, tutorials, code, brushes and related files ("Products"). Unless we expressly state otherwise, Assetal is not the seller of Products listed by Creators.
When you buy a Product, your contract for that Product is primarily with the relevant Creator. Assetal facilitates discovery, checkout, file delivery, account management and related tools. We may also provide standard licence tiers and platform policies that apply to listings.
3. Eligibility and accounts
To use the Service you must:
- be at least 18 years old, or the age of majority in your jurisdiction if higher;
- have legal capacity to enter a binding agreement;
- provide accurate, current registration information and keep it up to date;
- maintain the security of your account credentials and notify us promptly of unauthorised access.
You are responsible for activity under your account unless you notify us without undue delay after becoming aware of unauthorised use. We may suspend or terminate accounts that breach these Terms or pose a risk to the Service or other users.
4. Creator terms
4.1 Listings and representations
If you sell through Assetal as a Creator, you represent and warrant that:
- you own or control all rights necessary to licence each Product and any preview material you upload;
- your listing, tags, descriptions, pricing and disclosures (including mature content and AI-generated material labels) are accurate and not misleading;
- your Products comply with applicable law and these Terms, including our acceptable use standards;
- you will honour the licence tier(s) you offer and deliver the files described in your listing.
4.2 Payouts and fees
Creator payouts are processed through Stripe Connect or another payment partner we designate. You must complete identity verification and provide accurate payout details as required by our payment provider and applicable law (including anti-money laundering and tax reporting obligations).
Unless otherwise disclosed at checkout or in your dashboard, Creators receive approximately 95% of the sale amount allocated to their listing after payment processing; Assetal retains a platform fee of approximately 5%. Taxes, chargebacks, refunds, currency conversion and third-party fees may affect net amounts. We may change fee structures with reasonable notice where permitted by law and any applicable agreement with you.
4.3 Taxes
Creators are responsible for their own tax obligations, including goods and services tax (GST), income tax and reporting in Australia or other jurisdictions where they operate. We may collect, remit or report tax where required by law or configured through our payment systems.
5. Buyer terms
5.1 Licence, not ownership
Unless expressly stated otherwise, purchasing a Product grants a licence to use the digital files in accordance with the licence tier you select at checkout, not ownership of the underlying intellectual property. Creators may offer one or both of the following Assetal licence tiers:
- Assetal Standard: personal, non-commercial use by one user; no redistribution or resale of raw files;
- Assetal Extended: commercial use including client work and business projects; no redistribution or resale of raw files.
Review the licence tier, listing description and any creator-specific terms before purchase. If a listing is unclear, contact the Creator or us before buying.
5.2 Delivery and access
After successful payment, eligible files are made available through your account library or other delivery mechanism shown at checkout. You are responsible for downloading and backing up files within any stated access period. We do not guarantee perpetual hosting of files beyond what is stated on the Service.
6. Pricing, payments and receipts
Prices are displayed in the currency indicated on the listing or at checkout. Applicable taxes (including GST where relevant) may be calculated and collected in line with our payment configuration and Australian tax law. Payment processing is handled by third-party providers (such as Stripe). We do not store full payment card details on our servers.
You authorise us and our payment partners to charge your selected payment method for purchases, subscriptions (if offered) and applicable taxes. A receipt or tax invoice may be issued by Assetal, the Creator, or our payment partner depending on the transaction structure and tax settings.
7. Refunds, cancellations and chargebacks
Because Products are digital, refunds may be limited once files have been downloaded or accessed. However, this does not affect your non-excludable rights under the ACL or other mandatory laws.
You may request a refund or other remedy where:
- the Product materially fails to match its description or sample preview;
- files are corrupt, unusable or materially incomplete;
- you did not receive access to purchased files through no fault of your own;
- another remedy is required by the ACL or applicable consumer law.
Contact us via the Contact page with your order details. We may coordinate with the Creator to investigate and, where appropriate, provide a repair, replacement, refund or other remedy. Unjustified chargebacks or payment reversals may result in account suspension.
8. Acceptable use
You must not use the Service to:
- upload, sell or distribute unlawful, infringing, deceptive, harmful, harassing, hateful or exploitative content;
- list malware, credential-stuffing tools, or content primarily intended to circumvent software licensing or security;
- mislabel mature (18+) content or AI-generated material where the Service requires disclosure;
- scrape, crawl or harvest data from the Service at scale without our written permission;
- interfere with the Service, bypass access controls or attempt unauthorised access to systems or accounts;
- impersonate another person or misrepresent your affiliation with a Creator or Assetal.
We may remove or hide listings, suspend accounts and cooperate with law enforcement where we reasonably believe content or conduct breaches these Terms or applicable law.
9. Intellectual property
Assetal's name, logo, website design and platform software are owned by us or our licensors. You may not copy or exploit them except as permitted by law or with our written consent.
By uploading content to the Service, you grant Assetal a non-exclusive, worldwide, royalty-free licence to host, reproduce, adapt (for technical delivery), display and promote that content solely to operate and market the Service. You retain ownership of your content subject to licences granted to buyers.
If you believe content on Assetal infringes your copyright or other rights, contact us via the Contact page with sufficient detail for us to assess the complaint, including the listing URL, your contact details and a statement of good faith belief.
10. Disclaimers
Except for non-excludable guarantees and rights, the Service and Products are provided on an "as is" and "as available" basis. To the extent permitted by law, we do not warrant uninterrupted or error-free operation, or that Products will meet your requirements beyond their listing description and applicable consumer guarantees.
Creators are independent third parties. Assetal does not endorse every listing and is not responsible for creator conduct except as required by law or expressly stated in these Terms.
11. Limitation of liability
To the maximum extent permitted by law, Assetal's total aggregate liability to you for any claim arising out of or relating to the Service or these Terms is limited to the greater of (a) AUD $100 or (b) the total fees paid by you to Assetal for the transaction giving rise to the claim in the 12 months before the claim arose.
To the extent permitted by law, we are not liable for indirect, incidental, special or consequential loss, or loss of profits, revenue, data or goodwill. These limitations do not apply to liability that cannot be excluded under the ACL or other applicable law (including liability for fraud or gross negligence where exclusion is prohibited).
12. Indemnity
To the extent permitted by law, you indemnify Assetal against losses, claims and expenses (including reasonable legal fees) arising from your breach of these Terms, your content or listings, or your misuse of the Service. This indemnity does not apply to the extent a loss is caused by our breach of these Terms or non-excludable obligations.
13. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access immediately where we reasonably believe you have breached these Terms, create legal or security risk, or where required by law or a payment partner. Provisions that by nature should survive termination (including intellectual property, liability limits to the extent permitted, indemnity and governing law) continue after termination.
14. Changes to the Service and Terms
We may modify the Service or these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, provide additional notice (for example by email or an in-product message). Continued use after changes take effect constitutes acceptance of the revised Terms where permitted by law. If you do not agree to changes, you must stop using the Service.
15. Disputes and governing law
Please contact us first via the Contact page so we can try to resolve concerns promptly and fairly. If a dispute cannot be resolved informally, these Terms are governed by the laws of Australia. You submit to the non-exclusive jurisdiction of the courts of Australia, and where you are a consumer, you may also have rights to bring proceedings in the State or Territory in which you live.
16. General
- Entire agreement: These Terms (with documents incorporated by reference) constitute the entire agreement between you and Assetal regarding the Service, except for any separate written agreement we enter with you.
- Severability: If any provision is invalid or unenforceable, the remaining provisions remain in effect.
- No waiver: Failure to enforce a provision is not a waiver of that provision.
- Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights as part of a restructure, sale or transfer of the Service.
